Our client is a boutique law firm which specialises in tax. They seek a UK qualified tax lawyer ideally with at least 6 years' pqe. In this role you will deal with a wide range of work from transaction support to report writing. This firm acts as tax department to a range of commercial law firms. It deals with a UK and international corporate tax matters as well as SDLT property tax and VAT. Would consider someone who wants to work from home as long as they commit to some travel to London - so you might for example be based in London, Manchester, Belfast or Leeds at present. Current team is from well known Commericial and Magic Circle Law Firms. Would consider someone part time. This firm pays its team an hourly rate of c £100.

Work includes:
Corporation Tax queries
Corporate M&A transactions, including drafting and negotiation of tax warranties and
tax indemnities
Transaction involving offshore unit trusts and partnerships
Reviewing due diligence reports and advising on risk
Business and asset sales and purchases
Company formations and business start-up tax issues
Joint ventures
Enterprise Investment Scheme Issues (EIS/SEIS)
Entrepreneurs relief
Calculation of SDLT on property purchases
Calculation of SDLT on grants and leases
Advice on SDLT surcharges
Advice on SDLT reliefs, e.g. group relief, sale and leaseback relief
Completion of SDLT returns
Annual Tax on Enveloped Dwellings (ATED) advice
Completion of ATED returns
Negotiation of VAT and transfer of a going concern (TOGC) clauses in property sale contracts
Completion VAT registration and option to tax forms
Advice on opting to tax for VAT
Capital allowances advice and drafting of capital allowances clauses in sale contracts and
section 198 elections
Advice on VAT, SDLT, Construction Industry Scheme and capital allowances in the
context of lease inducements, capital contributions and lease surrenders
Tax advice for landlords and property portfolio owners
Property Tax considerations for Non-Dom investors
Advice on the tax implications of loans and debt instruments
Advice on structuring debt vs equity finance
Negotiation of tax provisions in loan facility agreements
Analysis of international tax treaties
Negotiation of tax provisions in ISDAs
