Transaction Tax Associate Director

The Opportunity
An established and growing Transaction Tax team is seeking an Associate Director to join its London office.
The team advises private equity funds, portfolio companies and corporate clients across the full deal lifecycle, working on a wide range of domestic and international transactions. This is a fast-paced, technically challenging environment, offering exposure to complex structuring, due diligence and advisory work across multiple sectors.
You will join a close-knit, high-performing team that has experienced strong growth and offers significant opportunity for progression, responsibility and client exposure.
The Role
As an Associate Director, you will play a key role in delivering transaction tax services on both buy-side and sell-side engagements. This will include leading tax due diligence, advising on acquisition structuring and supporting clients throughout the deal process.
The role combines technical tax expertise with strong client interaction, requiring a commercial mindset and the ability to operate effectively in a dynamic deal environment.
Key Responsibilities
Lead tax due diligence engagements for private equity and corporate transactions
Provide tax structuring advice, considering commercial objectives and key tax implications
Manage relationships with clients, legal advisers and target management teams
Lead due diligence meetings and oversee analysis, ensuring high-quality and robust output
Review and prepare due diligence and structuring reports ahead of senior review
Work closely with financial due diligence and transaction teams to deliver integrated advice
Support wider aspects of transactions, including reviewing financial models, funds flows and legal documentation
Build and maintain strong internal networks to support collaboration and identify opportunities
Contribute to business development activity, including preparing proposals and supporting pitches
Manage project budgets, ensuring effective financial control and timely billing
Conduct technical research using relevant legislation, guidance and internal resources
Support the development and mentoring of junior team members
Skills & Experience
ACA, CA, CTA, ADIT or equivalent qualification
Strong corporate tax experience, ideally with exposure to transactions or advisory work
Experience of UK corporation tax, with broader exposure to international tax concepts beneficial
Demonstrable experience of advising on technical tax matters in a commercial context
Strong client-facing experience with the ability to build and maintain relationships
Experience managing multiple projects and delivering to tight deadlines
Sound organisational and project management skills
Desirable:
Exposure to wider tax matters such as transfer pricing, VAT, employment taxes, R&D or share schemes
Experience working with private equity clients or on M&A transactions
