This marquee New York law firm is seeking an associate with transactional tax experience, ideally gained at a leading law firm or within a Big Four environment, to join its tax practice. The team advises across the full transactional spectrum, including mergers and acquisitions, private equity, debt finance, bankruptcy and financial restructuring, special situations, and private credit.
The role will focus on the tax aspects of financial restructuring, mergers and acquisitions, private equity, and debt finance.
You will work closely with a lead Tax Partner who brings extensive experience advising companies, creditor groups, and investment funds on tax planning for both in‑court and out‑of‑court restructurings. This includes tax structuring for bankruptcy matters, distressed M&A transactions, and special situations. The team also advises investment funds and both public and private companies on the tax implications of acquisitions, dispositions, and a broad range of business transactions.
The remit may also extend to debt and equity financing transactions, partnership tax, profits interests, joint ventures, inbound and outbound cross‑border investments, and the formation and operation of liquidating and litigation trusts.
The role is for a mid level associate, so ideally 4-6 years and therefore ideally for an exceptionally bright Lawyer who is looking for a technical and commercial challenge. Prior M&A Tax experience is advantageous, other being proactive, driven, commercial and engaged to learn a nuanced part of the market is needed.
US Tax trained and qualified essential. Being on the NY Bar highly advantageous.
