AD M&A Tax London (move out of Corporate Tax)

A leading Advisor with a incredibly strong brand in mid Market PE M&A Tax is sourcing for a strong AD who wants to move out of general Corporate Tax in commercial world of transaction tax.

Deals work includes advising private equity funds and large corporates on tax due diligence, acquisition structuring, disposals, joint venture structuring and financing on both UK and cross border transactions.

This role is ideal for a UK CTA and/or ACA trained person who still likes getting into the legalisation but looking to apply it commercially on buy and or sell side transactions. Deal value will be between £30m-£300m.

You will be advising on corporation tax, VAT, stamp duty, WHT and employment tax risks from a tax due diligence and tax structuring perspective, both on buy side and sell side transactions.
You will be reviewing tax covenants, warranties and disclosures in legal and transaction documents & advising on re-financings, debt push downs, hive downs, demergers and effective cash repatriation, including a review of tax assumptions and potential impacts thereof in financial models.

The team also manages tax services provided to private equity backed UK and international groups, successfully supporting management teams through buy in, investment and ultimate exit.

To clarify the team is prepared to 100% support you in the transition into this space so prior experience is not needed but of course any touch point would be beneficial.
