A services company in Connecticut is actively seeking an experienced Tax professional to join their growing staff as their new Vice President / Tax Counsel. Reporting directly to the Chief Tax Officer, the Vice President / Tax Counsel will be responsible for providing Global tax legal services, research & planning for domestic and international operations with the objective of developing, implementing, and sustaining strategies that minimize tax exposures while ensuring compliance with all applicable country tax laws. The Vice President / Tax Counsel will be responsible for:
Preparing technical position papers and formulating tax policy.
Working closely with Tax Accounting & Compliance group to provide support for Company tax liability positions and FIN 48 tax reserves
Providing tax support to ensure tax optimization and compliancy for Corporate Treasury initiatives, such as: asset backed securitizations; intercompany capital structuring; tax-related debt covenant provisions; Master Leases; receivable securitizations; etc.
Providing research and support for tax audit and litigation issues and managing all global tax audits for optimal outcomes providing proper documentation for support
Managing and coordinating with internal and external stakeholders on all Mergers & Acquisitions activity and tax planning strategies
Managing global transfer pricing issues and policies and ensuring tax compliancy and adequate documentation for all tax aspects of legal agreements, including Mergers & Acquisitions, royalty, technical support, license and intercompany debt agreements
Managing various operational tax inquiries and issues as they develop within the business operations
Assisting Human Resources in developing and implementing tax-efficient policies and resolving tax related compensation issues, expatriate issues, imputed income, Board of Director 1099’s, etc.
15+ years of Strategic Tax and Large Project Management experience with a proven record of U.S. and non-U.S. planning initiatives that includes design, feasibility, implementation, execution, and internal sustainability
Master's Degree and/or Juris Doctorate
Extensive knowledge and research & planning experience in U.S. Federal
Extensive knowledge and research & planning experience in non-U.S. taxation with emphasis on tax laws and structures in European countries
Extensive and broad M&A experience with various structures for acquisitions and divestitures
Strong global Business acumen
Proficient with Tax Research software
Microsoft Office/Suite proficient (Word, PowerPoint, Excel, etc.)
Great interpersonal skills
Excellent communication skills (written and verbal)
Strong attention to detail
Able to multitask efficiently and effectively
Extensive Corporate experience managing a Tax Council function for a U.S. multi-national public company
State & Local Tax planning experience
