Our M&A professionals provide our clients with value-added advice on all manner

Transaction Structuring, where we identify the most tax efficient structure to
meet client needs and offer strategies on purchase price allocation, advice on
pre-acquisition or disposal reorganizations, a review of clients' financing
structures' tax efficiency, including jurisdiction of financing vehicles, and
financial modeling of tax impacts on their business;
Due diligence services, where we give our clients a detailed review and
analysis of their tax position. Analysis includes tax rate, tax account, tax
compliance, contingencies and aggressive positions, transfer pricing, tax
attributes and carryforwards, and change of control provisions;
Post-acquisition Reorganization/Integration, where we offer advice on the
necessary reorganizations our clients will need to make in order to integrate
their business operations following a merger or acquisition.
As a Manager in M&A, you will experience the reward of being involved in
transactions from the proposal stage through to closing. You will get to see
how tax can add real value to a transaction, whether it's through the raising
of material tax issues during the tax due diligence stage or through the use of
efficient tax structures to complete the acquisition and necessary financing
during the closing stage. You will learn about the target's business, what its
key success factors are, where it plans to go in the future etc. as you deal in
most cases with the senior management of the target during the due diligence
process.
As part of the M&A team, you are also part of a very large team of advisors
that not only includes other PwC professionals from other lines of service but
also our clients, other advisors (lawyers, investment bankers etc.), and the
target's senior management team and their advisors.
We are seeking candidates with the following:
Strong technical tax background as a result of 5-7 years experience advising
emerging and/or multinational Canadian companies on their domestic tax strategy;
Experience in corporate tax research, consulting and compliance in a
professional services firm, industry, government agency and/or law firm is
essential;
High motivation and interest in taking the initiative for their own personal
growth and development;
Demonstrated ability to identify tax consulting opportunities;
Willingness to aggressively market services to existing and prospective clients;
Client service orientation combined with creative problem solving skills;
strong written and oral communication skills;
Ability to manage, develop, and retain a team of tax professionals.
